Terex AWP, Manitou sign reciprocal supply & marketing agreement

REDMOND, WASH., USA, and ANCENIS, France (April 19, 2010) - Terex Aerial Work Platforms (AWP) and Manitou have announced a reciprocal supply and marketing agreement under which, specified aerial work platform equipment will be supplied to each party, which also will assume responsibility for after-market support.

Terex AWP will manufacture 7.92 m and 9.75 m self-propelled rough terrain diesel scissor lifts for sale by Manitou as the 100 SC and 120 SC. Manitou will primarily use its dealer networks to sell the scissor lift models to end-users.

Manitou will manufacture 5.70 m and 7.90 m self-propelled vertical masts for sale by Terex AWP under its Genie® brand as the GR™-20J and GR™-26J. Terex AWP will primarily focus on marketing the vertical masts through its rental channel.

Initially, the agreement will be implemented in Europe (CE units) with the intention to widen its geographical scope in 2011.

New Chief Executive Officer of MANITOU

In their meeting which took place on June 2, 2009 the Supervisory Board presided over by Mr. Marcel Braud decided to appoint Mr. Jean-Christophe Giroux as Chief Executive Officer replacing Mr. Marcel Claude Braud.

This change is the result of a reflection of several months the necessity of which is emphasised by the events which took place at the end of 2008; the contraction of the orderbook on a world-level, the acquisition of GEHL in the United States, the urge for a clear and efficient organisation, call for a management both global and reactive at the Head of the Group, allowing MANITOU to better adapt to its new environment and to consolidate its leadership.

This decision, which mirrors the wish of the founding Family to concentrate on the governance of the company, as well as on its strategy, will be coupled with a return to a legal structure based on a Board of Directors, both simpler and more efficient on a operational point of view.

This new organisation-scheme in which Mr. Marcel Braud will become non-executive Chairman of the Board and Mr. Jean-Christophe Giroux will continue as the Chief Executive Officer, will be submitted –after all legal details have been finalised– to the approbation of an Extraordinary General Assembly of MANITOU shareholders which will be called in autumn.

 


Jean-Christophe Giroux has been since 1997 with ALCATEL-LUCENT, where he was until recently Chairman & CEO of ALCATEL-LUCENT France, and Chief Operating Officer for the Europe & South region (2006-2008). Previously Jean-Christophe Giroux has been President, Enterprise Solutions Division (2003-2006), Chairman & CEO of ALCATEL Optronics (2000-2003) which he took public on the Paris and Nasdaq stock exchanges as the first European tracking stock. Jean-Christophe Giroux joined ALCATEL in 1997 as Vice President, Financial Operations, in charge or Corporate Mergers and Acquisitions.Prior to that, Jean-Christophe Giroux has been working in investment banking with LAZARD (1991-1997) and in auditing with MAZARS & GUERARD (1989-1991).

Jean-Christophe Giroux holds a Hautes Etudes Commerciales (HEC) degree.

MANITOU - GEHL

MANITOU BF S.A. announced today the successful completion of the tender offer by its wholly owned subsidiary TENEDOR Corporation for all outstanding shares of common stock of GEHL Company (Nasdaq: GEHL).


The subsequent offering period expired at 12:00 p.m. (noon), New York City time, on Friday, October 24, 2008. The depositary for the offer has advised MANITOU and TENEDOR that shareholders of GEHL have now validly tendered a total of 9,752,734 GEHL shares, representing, when taken together with the 1,748,046 shares already owned by MANITOU, approximately 95.3% of the outstanding and fully diluted shares of common stock of GEHL. TENEDOR has accepted for payment all GEHL shares validly tendered in the offer and the subsequent offering period.
